4. Model Representation Agreement
4.1 Application and Acceptance
Models wishing to be represented by our agency must:
- Submit a complete application with accurate information
- Provide required photographs and portfolio materials
- Undergo our evaluation and selection process
- Sign a formal representation agreement upon acceptance
Submission of an application does not guarantee representation. We reserve the right to accept or decline any application at our sole discretion.
4.2 Commission Structure
Our standard commission structure is:
- Agency receives 20% commission on all bookings
- Models receive 80% of the booking fee
- Commission covers representation, management, and administrative services
- All commissions are clearly outlined in individual representation contracts
4.3 Model Obligations
Models represented by our agency agree to:
- Maintain professional standards and conduct
- Attend scheduled bookings and appointments punctually
- Keep the agency informed of availability and schedule changes
- Maintain physical appearance and fitness standards
- Direct all professional bookings through the agency
- Comply with client requirements and professional standards
- Refrain from accepting direct bookings without agency involvement
4.4 Agency Obligations
The agency commits to:
- Actively promote models to potential clients
- Negotiate fair terms and conditions for bookings
- Provide professional career guidance
- Process payments promptly and accurately
- Maintain professional relationships with clients
- Protect models' interests in all business dealings
5. Client Booking Terms
5.1 Booking Process
Clients booking models through our agency must:
- Submit detailed booking requests including date, time, location, and requirements
- Provide clear information about project scope and usage rights
- Sign a booking confirmation agreement
- Pay required deposits or fees as specified
- Comply with professional standards and ethical conduct
5.2 Payment Terms
Standard payment terms for clients:
- 50% deposit required upon booking confirmation
- Remaining 50% due within 14 days of job completion
- Late payments subject to interest charges of 2% per month
- All payments in USD or equivalent currency
- Additional expenses (travel, accommodation) billed separately
5.3 Cancellations
Booking cancellations are subject to:
- Cancellations more than 14 days before booking: Full refund minus 10% administrative fee
- Cancellations 7-14 days before booking: 50% of booking fee retained
- Cancellations less than 7 days before booking: 75% of booking fee retained
- Cancellations within 24 hours: Full booking fee retained
6. Intellectual Property Rights
6.1 Agency Content
All content on our website, including text, graphics, logos, images, and software, is owned by or licensed to Danitella and protected by copyright, trademark, and other intellectual property laws.
6.2 Model Portfolio Materials
Models grant the agency:
- Non-exclusive rights to use portfolio images for promotional purposes
- Permission to display images on website and marketing materials
- Rights to share portfolios with potential clients
- License to use images for agency promotion and business development
6.3 Usage Rights
Clients booking models must:
- Negotiate specific usage rights for each project
- Obtain proper licenses for image usage
- Respect copyright and intellectual property rights
- Pay additional fees for extended usage rights
6.4 User Content
If you submit content to our website (comments, applications, inquiries), you grant us:
- Worldwide, non-exclusive, royalty-free license to use, reproduce, and display such content

- Outstanding financial obligations remain due
- Provisions regarding confidentiality and intellectual property survive
11. Dispute Resolution

Before initiating formal proceedings, parties agree to attempt informal resolution through good-faith negotiations for at least 30 days.
11.2 Arbitration
Any disputes not resolved informally shall be settled by binding arbitration in Hong Kong SAR, conducted in English, under the rules of the Hong Kong International Arbitration Centre.
